        AMENDMENTS TO SENATE AMENDMENTS, HOUSE OF REPRESENTATIVES,
           NOVEMBER 16, 1998

                                     AN ACT

     1  Amending Title 15 (Corporations and Unincorporated Associations)
     2     of the Pennsylvania Consolidated Statutes, further providing
     3     for trademark fees AND FOR PURPOSES OF LIMITED LIABILITY       <--
     4     COMPANIES.

     5     The General Assembly of the Commonwealth of Pennsylvania
     6  hereby enacts as follows:
     7     Section 1.  Section 153(a)(7) SECTIONS 153(A)(7) AND 8911(A)   <--
     8  of Title 15 of the Pennsylvania Consolidated Statutes is ARE      <--
     9  amended to read:
    10  § 153.  Fee schedule.
    11     (a)  General rule.--The fees of the Corporation Bureau of the
    12  Department of State, including fees for the public acts and
    13  transactions of the Secretary of the Commonwealth administered
    14  through the bureau, and of county filing officers under Title 13
    15  (relating to commercial code), shall be as follows:

    17         (7)  Trademarks, emblems, union labels,
    18     description of bottles and like matters:

     1             [(i)  Registration.....................            52
     2             (ii)  Each ancillary transaction.......           52]
     3             (i)  Trademark registration............            25

    11  § 8911.  PURPOSES.                                                <--
    12     (A)  GENERAL RULE.--LIMITED LIABILITY COMPANIES MAY BE
    13  ORGANIZED UNDER THIS CHAPTER FOR ANY LAWFUL PURPOSE, EXCEPT FOR
    14  THE PURPOSE OF BANKING OR INSURANCE. UNLESS OTHERWISE RESTRICTED
    15  IN ITS CERTIFICATE OF ORGANIZATION, EVERY LIMITED LIABILITY
    16  COMPANY HAS AS ITS PURPOSE THE ENGAGING IN ALL LAWFUL BUSINESS
    17  FOR WHICH LIMITED LIABILITY COMPANIES MAY BE ORGANIZED UNDER
    18  THIS CHAPTER. NOTHING IN THIS SECTION SHALL PROHIBIT THE
    19  FOLLOWING:
    20         (1)  A LIMITED LIABILITY COMPANY ORGANIZED BY ONE OR MORE
    21     BANKS OR A BANKING ORGANIZATION FOR THE SOLE PURPOSES OF
    22     MARKETING AND SELLING TITLE INSURANCE.
    23         (2)  THE ORGANIZATION OF AN INSURANCE AGENCY LICENSED IN
    24     THIS COMMONWEALTH AS A LIMITED LIABILITY COMPANY.

    26     Section 2.  This act shall take effect in 60 days.
