                                     AN ACT

     1  Amending Title 15 (Corporations and Unincorporated Associations)
     2     of the Pennsylvania Consolidated Statutes, further providing
     3     for qualifications of directors.

     4     The General Assembly of the Commonwealth of Pennsylvania
     5  hereby enacts as follows:
     6     Section 1.  Section 5722 of Title 15 of the Pennsylvania
     7  Consolidated Statutes is amended to read:
     8  § 5722.  Qualifications of directors.
     9     (a)  General rule.--Each director shall be a natural person
    10  of full age except as provided in subsection (b) who, unless
    11  otherwise restricted in the bylaws, need not be a resident of
    12  this Commonwealth or a member of the corporation. Except as
    13  otherwise provided in this section, the qualifications of
    14  directors may be prescribed in the bylaws.
    15     (b)  Directors under full age.--A nonprofit corporation may
    16  include one or more directors on its board who are 16 or 17


     1  years of age as long as that number does not exceed one-half of
     2  the total number of directors required for a quorum for the
     3  transaction of business. If a nonprofit corporation wishes to
     4  have more than one director of 16 or 17 years of age, it must
     5  first amend its articles of incorporation to reflect the number
     6  of directors who may be 16 or 17 years of age.
     7     Section 2.  This act shall take effect in 60 days.
